Please read these Terms of Use (“Terms”) carefully before using https://www.protogen.com or the GridNav platform (collectively, the “Services”) operated by ProtoGen, Inc., a Pennsylvania corporation (“ProtoGen,” “we,” “us,” or “our”). These Terms constitute a legally binding agreement between you and ProtoGen.
Your access to and use of the Services is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, account holders, and organizations that access or use the Services. By accessing or using the Services, you confirm that you are at least 18 years of age, have the authority to enter into this agreement on behalf of yourself or your organization, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you may not access or use the Services.
As used in these Terms, the following definitions apply:
The ProtoGen website provides information about ProtoGen’s consulting and engineering services, publications, and company resources. It is intended for informational purposes.
GridNav is an enterprise software platform designed to assist energy professionals, government agencies, utilities, and large energy users in evaluating, planning, and managing energy infrastructure projects. GridNav integrates geographic information system (GIS) data, third-party feasibility modeling tools (including DOE’s REopt), portfolio management features, and AI-powered analysis tools that generate text-based observations, summaries, and recommendations (“AI Analysis”).
IMPORTANT NOTICE REGARDING GRIDNAV OUTPUTS AND AI ANALYSIS: All analyses, feasibility assessments, recommendations, and other Outputs generated by GridNav, including AI Analysis, are provided for planning and informational purposes only. GridNav Outputs are not a substitute for independent professional engineering analysis, legal advice, financial advice, or utility interconnection studies. Users should not rely solely on GridNav Outputs when making capital investment decisions, regulatory filings, or interconnection applications.
ProtoGen makes no guarantee as to the accuracy, completeness, or fitness for any particular purpose of any Output. AI Analysis outputs are generated by machine learning models that may produce incomplete, inaccurate, or contextually inappropriate content despite ProtoGen’s efforts to configure and refine them. AI Analysis is intended solely to prompt and inform conversations with qualified experts and to surface considerations for further investigation. AI Analysis does not constitute professional advice of any kind.
GridNav includes artificial intelligence and machine learning features that generate text-based observations, summaries, and project advancement recommendations based on modeling outputs and user-supplied inputs (“AI Analysis”). AI Analysis is designed to help users identify questions, considerations, and next steps to discuss with qualified engineering, legal, financial, and utility professionals. It is not designed to replace such professionals.
You acknowledge and agree that:
AI Analysis does not constitute engineering advice, legal advice, financial advice, investment advice, utility interconnection guidance, or any other form of licensed professional advice. ProtoGen is not a licensed professional engineer in any jurisdiction with respect to AI Analysis outputs. Any project advancement decisions, capital commitments, permit applications, interconnection requests, or regulatory filings must be reviewed and approved by appropriately licensed professionals before execution.
The quality and applicability of AI Analysis is directly dependent on the accuracy and completeness of your inputs and the underlying modeling assumptions. You are solely responsible for verifying that all data inputs are accurate, current, and representative of real-world conditions. ProtoGen is not responsible for AI Analysis outputs that are inaccurate, misleading, or harmful as a result of incorrect, incomplete, or unvalidated user inputs.
YOU EXPRESSLY AGREE THAT YOU WILL NOT RELY SOLELY ON AI ANALYSIS TO MAKE FINAL DECISIONS REGARDING PROJECT DEVELOPMENT, CAPITAL INVESTMENT, FINANCING, PERMITTING, INTERCONNECTION, OR REGULATORY COMPLIANCE. PROTOGEN EXPLICITLY DISCLAIMS ALL LIABILITY FOR DAMAGES ARISING FROM DECISIONS MADE IN RELIANCE ON AI ANALYSIS WITHOUT INDEPENDENT EXPERT VALIDATION.
AI Analysis features are built on evolving technology. ProtoGen may update, retrain, or modify AI Analysis models at any time. Outputs from the same inputs may differ across model versions. ProtoGen does not guarantee consistency of AI Analysis outputs over time.
To access certain features of the Services, including GridNav, you must register for an Account. You agree to provide accurate, current, and complete information during registration and to keep your Account information updated.
You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to notify ProtoGen immediately at Contact@ProtoGen.com of any unauthorized access to or use of your Account. ProtoGen is not liable for any loss or damage arising from your failure to comply with these security obligations.
If you register on behalf of a company or organization, you represent and warrant that you have authority to bind that organization to these Terms. In such cases, “you” and “your” refer to both the individual and the organization.
ProtoGen reserves the right to suspend or terminate any Account, with or without notice, for violation of these Terms, non-payment, or any activity that ProtoGen reasonably determines to be harmful to the Services or other users. You may terminate your Account at any time by contacting us at Contact@ProtoGen.com.
Access to GridNav features may require a paid subscription. Current pricing, plan details, and feature access levels are described on the GridNav pricing page or in an executed Order Form between you and ProtoGen. ProtoGen reserves the right to modify pricing with at least 30 days’ written notice to active Subscribers.
Subscription fees are billed in advance on a monthly or annual basis, as selected at the time of purchase. All fees are due upon invoice and are non-refundable except as expressly stated herein or as required by applicable law. You authorize ProtoGen (or its payment processor) to charge your designated payment method for all applicable fees.
Subscription fees do not include applicable federal, state, or local taxes. You are responsible for paying all such taxes associated with your subscription, excluding taxes on ProtoGen’s net income.
ProtoGen may offer free trials or beta access to GridNav at its discretion. Such access is governed by these Terms and any additional terms communicated at the time of enrollment. ProtoGen may discontinue free trial or beta access at any time without liability.
If any payment is overdue by more than 15 days, ProtoGen may suspend access to the Services until all outstanding amounts are paid in full. Suspension does not relieve you of your obligation to pay overdue amounts.
You may use the Services only for lawful purposes and in accordance with these Terms. Permitted uses include accessing and using GridNav features for energy planning, analysis, and portfolio management activities consistent with the Services’ design.
You agree not to use the Services to:
The Services and all Content developed by ProtoGen, including but not limited to software, algorithms, models, text, graphics, logos, and the GridNav platform architecture, are and will remain the exclusive property of ProtoGen, Inc. and its licensors. These Terms do not grant you any ownership interest in the Services or ProtoGen’s intellectual property.
Subject to your compliance with these Terms and, where applicable, payment of subscription fees, ProtoGen grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during the applicable subscription term.
You retain all ownership rights to User Data you submit to the Services. By submitting User Data, you grant ProtoGen a limited, non-exclusive, worldwide license to process, store, and use your User Data solely as necessary to provide the Services to you.
If you provide ProtoGen with suggestions, feedback, or ideas regarding the Services (“Feedback”), you grant ProtoGen a perpetual, irrevocable, royalty-free license to use such Feedback for any purpose without obligation to you.
The Services may incorporate or interface with third-party software, models, or data, including the DOE REopt modeling tool. Use of third-party components is subject to the applicable third-party terms and licenses. ProtoGen does not claim ownership of such third-party components.
“ProtoGen,” “GridNav,” and associated logos are trademarks or registered trademarks of ProtoGen, Inc. You may not use these marks without ProtoGen’s prior written permission. All other trademarks referenced in the Services are the property of their respective owners.
Your use of the Services is also governed by ProtoGen’s Privacy Policy, which is incorporated into these Terms by reference.
ProtoGen implements reasonable technical and organizational measures designed to protect User Data against unauthorized access, loss, or disclosure. However, no data transmission or storage system is completely secure. ProtoGen cannot guarantee absolute security and is not liable for any unauthorized access resulting from circumstances outside its reasonable control.
ProtoGen will not sell, rent, or share your User Data with third parties for their own marketing purposes. ProtoGen may share User Data with service providers acting on its behalf, subject to appropriate confidentiality obligations. ProtoGen may disclose User Data if required by law or legal process.
ProtoGen reserves the right to use aggregated, anonymized, and de-identified data derived from the Services for product improvement, research, benchmarking, and public reporting, provided such data does not identify any individual or organization.
ProtoGen retains User Data for the duration of your subscription and for a reasonable period thereafter, as described in the Privacy Policy or as required by applicable law. Upon Account termination, ProtoGen will delete or anonymize your User Data within a commercially reasonable timeframe, unless retention is required by law.
The Services may contain links to third-party websites or integrate with third-party services (such as utility data providers, GIS data sources, or REopt) that are not owned or controlled by ProtoGen. ProtoGen has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
You acknowledge and agree that ProtoGen shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any content, goods, or services available through any third-party website or service. We strongly advise you to review the terms and privacy policies of any third-party service you access through or in connection with the Services.
YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR COURSE OF PERFORMANCE.
PROTOGEN DOES NOT WARRANT THAT (A) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) ANY OUTPUTS OR RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE, COMPLETE, OR RELIABLE; (C) ERRORS IN THE SERVICES WILL BE CORRECTED; OR (D) THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
YOU UNDERSTAND AND ACKNOWLEDGE THAT GRIDNAV OUTPUTS, INCLUDING ALL AI ANALYSIS, ARE PLANNING TOOLS ONLY AND DO NOT CONSTITUTE PROFESSIONAL ENGINEERING REPORTS, UTILITY INTERCONNECTION APPROVAL, FINANCIAL ADVICE, OR INVESTMENT ADVICE. RELIANCE ON GRIDNAV OUTPUTS OR AI ANALYSIS FOR FINAL INVESTMENT, DEVELOPMENT, OR REGULATORY DECISIONS IS AT YOUR SOLE RISK.
PROTOGEN DOES NOT WARRANT THE ACCURACY, RELIABILITY, OR SUITABILITY OF ANY AI ANALYSIS OUTPUT FOR ANY PARTICULAR PURPOSE. AI ANALYSIS IS GENERATED BY MACHINE LEARNING MODELS AND MAY PRODUCE INACCURATE, INCOMPLETE, OR CONTEXTUALLY INAPPROPRIATE RESULTS DESPITE PROTOGEN’S REASONABLE EFFORTS TO CONFIGURE AND REFINE SUCH MODELS. ALL AI ANALYSIS OUTPUTS AND THE ASSUMPTIONS UNDERLYING THEM MUST BE INDEPENDENTLY VALIDATED BY QUALIFIED PROFESSIONALS BEFORE USE IN PROJECT DECISIONS.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROTOGEN, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUBCONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PROTOGEN’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO PROTOGEN IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, the above limitations may not apply to you to the extent prohibited by applicable law.
You agree to defend, indemnify, and hold harmless ProtoGen, Inc., its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your violation of these Terms; (b) your User Data or your use of the Services; (c) your violation of any third-party right, including intellectual property rights or privacy rights; or (d) your violation of any applicable law or regulation.
ProtoGen respects the intellectual property rights of others. If you believe that any content available through the Services infringes your copyright, please send a written notification to our designated copyright agent at DMCA@ProtoGen.com with the following information: (a) identification of the copyrighted work claimed to be infringed; (b) identification of the allegedly infringing material and its location in the Services; (c) your contact information; (d) a statement that you have a good faith belief that the use is not authorized; (e) a statement under penalty of perjury that the information is accurate and that you are the copyright owner or authorized to act on the owner’s behalf; and (f) your physical or electronic signature.
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions.
Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Bucks County, Pennsylvania, and you consent to the personal jurisdiction of such courts.
Before initiating any formal legal proceeding, you agree to contact ProtoGen at Contact@ProtoGen.com and provide a written description of the dispute. The parties agree to attempt to resolve the dispute informally for a period of at least 30 days before resorting to litigation.
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY CLAIMS AGAINST PROTOGEN WILL BE BROUGHT SOLELY IN AN INDIVIDUAL CAPACITY AND NOT AS A CLASS ACTION OR REPRESENTATIVE PROCEEDING.
You agree to comply with all applicable U.S. export control laws and regulations, including the Export Administration Regulations (EAR) and the sanctions programs administered by the Office of Foreign Assets Control (OFAC). You represent and warrant that you are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services. You further represent that you are not listed on any U.S. government denied-party list.
ProtoGen shall not be liable for any delay or failure to perform its obligations under these Terms resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, civil unrest, government action, internet or telecommunications failures, cyberattacks, or failures of third-party service providers.
ProtoGen reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, ProtoGen will provide at least 30 days’ notice before new terms take effect, either by email to the address on your Account or by prominent notice on the Services. What constitutes a material change will be determined at ProtoGen’s sole discretion. By continuing to access or use the Services after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must discontinue use of the Services.
ProtoGen reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. ProtoGen shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services, except that for paid Subscribers, ProtoGen will provide at least 30 days’ written notice of any discontinuation of a material feature, along with a pro-rated refund of prepaid fees for the affected period.
These Terms, together with the Privacy Policy and any executed Order Form or Statement of Work, constitute the entire agreement between you and ProtoGen regarding the Services and supersede all prior agreements, representations, and understandings, whether written or oral.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
ProtoGen’s failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. A waiver of any right or provision will be effective only if in writing and signed by a duly authorized representative of ProtoGen.
You may not assign or transfer these Terms or any rights granted hereunder without ProtoGen’s prior written consent. ProtoGen may assign these Terms in connection with a merger, acquisition, corporate restructuring, or sale of all or substantially all of its assets. These Terms will be binding upon and inure to the benefit of the parties’ permitted successors and assigns.
These Terms are for the sole benefit of the parties hereto and their respective permitted successors and assigns. Nothing herein shall create any right or benefit in any third party.

Nothing in these Terms shall be construed to create a partnership, joint venture, agency, employment, or fiduciary relationship between you and ProtoGen. Each party is an independent contractor.
This site utilizes software developed by and licensed from the Alliance for Sustainable Energy, LLC under the Apache License 2.0, which you acknowledge you have read and agree to be bound by.
The energy analysis engine powering this application is based on REopt, developed by the National Laboratory of the Rockies (NLR), formerly the National Renewable Energy Laboratory (NREL), a national laboratory of the U.S. Department of Energy, operated by Alliance for Sustainable Energy, LLC under Contract No. DE-AC36-08GO28308.
The use of this technology does not constitute an endorsement by the U.S. Department of Energy, NLR, or Alliance for Sustainable Energy, LLC of ProtoGen, Inc. or its products. The views and analysis results presented herein do not necessarily represent the views of the DOE or the U.S. Government.
